SCHOOL HOUSE COMP TERMS OF SERVICE Effective date: 07/09/2026 Last updated: 07/09/2026 1. AGREEMENT TO THESE TERMS These Terms of Service (Terms) are an agreement between LocalUplift operating as School House Comp (we, us, our), and the school, organisation, or individual accepting these Terms or using School House Comp (you, your). School House Comp is an online service that enables schools and organisations to create and operate house-points scoreboards, manage houses, award and deduct points, maintain point history, create competition events, customise display boards, and manage staff access (the Service). By creating an account, starting a trial, purchasing access, or using the Service, you agree to these Terms. If you accept on behalf of a school or organisation, you confirm that you have authority to bind it to these Terms. If you do not agree, do not use the Service. 2. ELIGIBILITY AND ACCOUNTS You must be at least 18 years old and authorised by your school or organisation to create or administer its account. You must provide accurate account information and keep it current. You are responsible for all activity carried out through your account and for keeping login credentials confidential. You must promptly notify us at privacy@schoolhousecomp.com if you suspect unauthorised access. We may suspend or restrict an account where we reasonably believe it has been compromised or is being used in breach of these Terms. Administrators may invite additional staff users. You are responsible for choosing appropriate users and access levels and for removing access when it is no longer required. 3. YOUR RESPONSIBILITIES You are responsible for: - obtaining all necessary permissions, notices, and consents to enter, upload, display, or otherwise use content and personal information in the Service; - ensuring your use complies with applicable law, your school or organisation's policies, and any requirements that apply to children or students; - the accuracy of points, house details, event details, user details, and other content entered into your account; - supervising staff users and the use of public display boards; and - maintaining suitable devices, internet access, and browser software to access the Service. Do not use the Service to upload or display unlawful, harmful, defamatory, discriminatory, infringing, or inappropriate content; introduce malicious code; interfere with the Service; attempt unauthorised access; scrape or reverse engineer the Service except where law does not permit that restriction; or use the Service for any purpose unrelated to operating your organisation's house-points activities. 4. STUDENT AND PERSONAL INFORMATION The Service is intended to be administered by schools, organisations, and authorised staff, not directly by children. Do not create direct accounts for students unless this is expressly permitted by us in writing and permitted by applicable law. You decide what information to enter into the Service. Use only the minimum information reasonably necessary. Before entering or publicly displaying any student name, image, logo, or other personal information, you must ensure you have the necessary authority and permissions. The parties' privacy obligations, including how we collect and process personal information, are described in our Privacy Policy at [PRIVACY POLICY URL]. If applicable privacy or education laws require a data processing agreement or other written arrangement, contact us at support@schoolhousecomp.com before using the Service with regulated personal information. 5. CONTENT AND PUBLIC DISPLAYS You retain ownership of content you submit to the Service, including house names, logos, colours, scores, and event information (Your Content). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, transmit, and display Your Content only as needed to operate, maintain, support, and improve the Service. Some Service features provide publicly viewable live scoreboards and event boards. Anyone with access to the relevant public URL may be able to view the information shown there. You are responsible for configuring and using those features appropriately and for deciding what information is suitable for public display. You represent that Your Content does not violate any law or third-party right. We may remove or disable access to content that we reasonably believe breaches these Terms or creates legal, security, or operational risk. 6. TRIALS, FEES, AND PAYMENTS New accounts may receive a 14-day full-access trial unless we state otherwise. We may change or withdraw trial offers prospectively. At the end of a trial, access to point changes and administrative changes may be restricted until payment is received, while scoreboards and point history may remain viewable. Paid access is offered on the plan, price, currency, and billing period presented at checkout or otherwise agreed in writing. Unless stated otherwise, payments are due in advance and are non-refundable except where required by law. You are responsible for applicable taxes, excluding taxes on our income. Payments are processed by Stripe. We do not receive, process, or store your full payment-card details. Your payment is also subject to the processor's terms and privacy practices. Unless your order states otherwise, paid Standard access is purchased for one year. Before the recorded renewal date, we may send a renewal reminder. Continued access after the paid period requires a further payment; the Service does not automatically charge your card unless we clearly tell you and obtain any consent required by law. 7. AVAILABILITY, CHANGES, AND SUPPORT We will use reasonable care to provide the Service, but it may be unavailable from time to time for maintenance, updates, internet or hosting failures, security reasons, or events outside our reasonable control. We do not guarantee uninterrupted, error-free, or loss-free operation. We may modify, improve, or discontinue features where reasonably necessary. If a material change substantially reduces paid functionality during a current paid term, we will use reasonable efforts to give advance notice, except where immediate action is needed for security, law, or operational reasons. Support is available at support@schoolhousecomp.com from Monday to Friday, 9am - 5pm AEST. 8. INTELLECTUAL PROPERTY We and our licensors own the Service, including its software, design, branding, and documentation, excluding Your Content. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal school or organisational purposes during your subscription or trial. You may not copy, sell, lease, sublicense, distribute, or create derivative works from the Service except as permitted by law or with our written permission. 9. TERMINATION AND DATA You may stop using the Service at any time. To cancel a paid account or request account closure, contact support@schoolhousecomp.com. Cancellation does not entitle you to a refund for fees already paid unless required by law or agreed by us in writing. We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, create security or legal risk, or if required by law. Where practical, we will give notice and an opportunity to address the issue. Following closure or termination, we may delete Your Content and account data after 3 months, except where retention is required by law, necessary to resolve a dispute, or permitted by our Privacy Policy. You are responsible for exporting or retaining any records you need before closure. 10. DISCLAIMERS To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, and accuracy. The Service is an administrative tool only. It does not provide legal, educational, safeguarding, financial, or professional advice. You remain responsible for your decisions, points processes, competition rules, safeguarding obligations, and compliance duties. 11. LIMITATION OF LIABILITY Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence where applicable law prohibits limitation, or any other non-excludable liability. Subject to the paragraph above, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity, arising out of or related to these Terms or the Service. Subject to the paragraph above, our total liability arising out of or related to these Terms or the Service will not exceed the total fees you paid us for the Service in the 12 months immediately before the event giving rise to the claim. 12. INDEMNITY To the extent permitted by law, you will indemnify and hold us harmless from claims, losses, liabilities, damages, and reasonable costs arising from Your Content, your breach of these Terms, or your unlawful use of the Service. This does not apply to the extent a claim is caused by our breach of these Terms or our unlawful conduct. 13. CHANGES TO THESE TERMS We may update these Terms from time to time. We will post the updated Terms with a revised effective date and, for material changes, provide reasonable advance notice through the Service or by email. Continued use after the effective date of updated Terms means you accept them. If you do not agree, you must stop using the Service before the changes take effect. 14. GENERAL These Terms and the Privacy Policy form the entire agreement between you and us about the Service and replace prior agreements on that subject. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a merger, acquisition, reorganisation, or sale of assets. 15. GOVERNING LAW AND DISPUTES These Terms are governed by the laws of NSW, Australia, excluding conflict-of-law rules. The courts of NSW, Australia have exclusive jurisdiction over disputes arising from these Terms, except where applicable consumer law gives you a right to bring proceedings elsewhere. 16.
